1. Services
Code & Brand provides software development, brand identity design, and related digital services. Specific deliverables, timelines, and payment terms for each project are agreed upon separately in a written proposal or service agreement between Code & Brand and the client.
2. Enquiries & Proposals
Submitting a contact form or enquiry does not constitute a binding agreement. A project only begins upon mutual written agreement (email confirmation or signed proposal) and receipt of any agreed deposit.
3. Intellectual Property
Upon full payment for a project:
- Custom code and designs created specifically for your project become your property
- We retain the right to use project work in our portfolio unless otherwise agreed in writing
- Any third-party libraries, fonts, or assets used remain subject to their respective licences
- We retain ownership of our internal tools, frameworks, and methodologies
4. Payment Terms
Payment terms are specified in individual project agreements. Generally:
- A deposit is required before work begins
- Milestone payments may apply for larger projects
- Final deliverables are released upon receipt of full payment
- Late payments may attract interest as specified in the project agreement
5. Client Responsibilities
You agree to:
- Provide accurate and complete information required for project delivery
- Respond to communications in a timely manner to avoid project delays
- Ensure you have rights to any content, assets, or materials you provide to us
- Not use our services for unlawful purposes
6. Revisions & Scope Changes
Project proposals include a defined scope. Changes to scope during a project may affect timelines and cost, and will be discussed and agreed upon before implementation. Excessive revision requests beyond the agreed scope may be billed additionally.
7. Confidentiality
We treat all client project information as confidential and do not disclose it to third parties without your consent. Similarly, we ask that clients treat any proprietary processes, pricing, or materials shared by us as confidential.
8. Limitation of Liability
To the maximum extent permitted by law, Code & Brand shall not be liable for any indirect, incidental, or consequential damages arising from use of our services or this website. Our total liability for any claim shall not exceed the amount paid by you for the specific service giving rise to the claim.
9. Website Use
You may use our website for lawful purposes only. You must not attempt to interfere with the website's functionality, scrape content without permission, or misrepresent your identity when contacting us.
10. Termination
Either party may terminate a project engagement with written notice. In such cases, payment is due for all work completed to the termination date. We reserve the right to decline or discontinue services at our discretion.
11. Governing Law
These Terms are governed by the laws of India. Any disputes shall be subject to the jurisdiction of courts in Chennai, Tamil Nadu, India.
12. Changes to Terms
We may update these Terms periodically. Continued use of our website or services after changes constitutes acceptance of the updated Terms.
